Independent contractor status
Vendors and contractors are independent contractors and are not employees, partners, franchisees, agents, or joint venturers unless a signed agreement says otherwise.
Work quality
Contractors must perform work professionally, lawfully, safely, and according to the applicable scope, deadlines, confidentiality requirements, brand standards, and technical requirements.
Confidentiality
Contractors must protect non-public business, technical, customer, pricing, security, credential, source code, AI, product, and strategy information.
IP assignment
Unless a signed agreement says otherwise, contractor work made for the Company is assigned to the Company upon payment, including all rights needed to use, modify, commercialize, license, and enforce it.
Compliance
Contractors are responsible for taxes, licenses, insurance, equipment, background requirements where applicable, safety, data protection, and compliance with applicable laws.
